This Subscription Service Charges Document sets forth the fee structures associated with the various Netskope subscription services provided through the Netskope Cloud Security Platform (the “Services”). As Netskope issues new price lists and SKUs, Netskope will update and modify this Subscription Service Charges Document and included descriptions by posting a new version at this location. Updates and modifications shall be effective with respect to the customer’s Services purchases and renewals after new terms are posted.
Services are billed based on one of the following subscription units, depending on the Service type and SKU. The true-up process, or additional fees charged for use exceeding the purchased subscription, for each Service type are set forth below in the Netskope Services section.
“Account” means a cloud services container for compute instances and other cloud resources that provides access, billing or other administrative capabilities, such as AWS Accounts, Azure Subscriptions, and GCP Projects.
“GB” and “TB” mean, respectively, the number of gigabytes or terabytes of data scanned by the Service (such as storage scan Services or CASB retroscan) or traffic processed by the Service (such as machine traffic and guest WiFi traffic).
“Resource” means a billable resource (akin to host-based pricing) for supported compute instances, storage buckets and databases as identified in the applicable Netskope documentation for the Service.
“Seat” means a subscription for a Netskope API-enabled service to monitor a single User (as defined below) accessing a single third party SaaS application. For example, two Users monitored by Netskope API-enabled Services for three third party SaaS applications would require a subscription for six Seats (2 Users x 3 SaaS applications = 6 Seats). The specific Netskope API-enabled Services are as identified in the Netskope quotation for the Service subscription.
“User” means each individual that (a) is authorized by the customer to use the customer’s systems (including the customer’s network, cloud services and Internet connections), and (b) whose use of such systems is monitored by, or accessed by use of, the Services. For clarity, a User may be an employee, contractor or other individual authorized by the customer. Also, an individual is a single “User” regardless of the number of devices the User uses to access the customer systems. An individual whose access is terminated may be replaced by another individual as a “User” during a subscription period, however, a subscription for a User may not be shared between individuals at any time. Per User subscriptions do not include guest WiFi traffic, machine traffic, nonstandard computing devices, storage scanning, robotic process automation or batch tools, or other forms of automated network endpoints having the ability to transmit data without human direction, which are billed under the Machine Traffic and WiFi Services SKUs.
Secure Web Gateway (SWG), NG Secure Web Gateway (NG SWG), Cloud Inline, Firewall (CFW), Remote Browser Isolation (RBI) and Zero Trust Network Access (ZTNA) Services SKUs: NK-P-SSEPA-, NK-P-SSE-, NK-P-NGSWG-STD/ENT/PRF/RBI, NK-P-CLDINL-, NK-CFW-, NK-NPA- and NK-NG-
Secure Web Gateway, NG Secure Web Gateway, Cloud Inline, Firewall, Remote Browser Isolation and Zero Trust Network Access SKUs are charged on a User basis. These Services require a separate tunnel from Machine Traffic and WiFi Services SKUs. The customer may increase the number of permitted Users at any time during a Service subscription period by purchasing additional User subscriptions. Fees charged by Netskope for Users added during a Service subscription period will be consistent with the per User fees quoted by Netskope for the original order for the same Service subscription period. Netskope will provide pro-rated pricing for additional User subscriptions to be coterminous with the original Service subscription period. During the Service subscription period, the customer and Netskope will cooperate in good faith to determine if actual Users exceed the quantity of Users purchased. The customer is required to provide information reasonably requested by Netskope for such purposes and written confirmation of the number of Users if requested by Netskope in connection with renewals. If the customer is notified that the number of actual Users exceeds the purchased subscription, the customer is required within 30 days after notice to either purchase additional quantities sufficient for all Users, or immediately cease Services for all Users exceeding the purchased quantity.
Machine Traffic and WiFi Services SKUs: NK-NG-SWG-MACH, NK-NG-SWG-C-MACH and NK-NG-SWG-WIFI-
Machine Traffic and WiFi Services SKUs are charged on a GB basis. These Services are intended for use with machine traffic and guest WiFi traffic through designated tunnels; separate tunnels are required for each of machine traffic, guest WiFi traffic and User traffic. Initial Service subscription includes Netskope receiving and processing traffic volume up to a total of 1GB of data per month for each GB unit purchased (the “Capacity Limitation”). Usage and subscription increases for exceeding the Capacity Limitation will be assessed on a quarterly basis. The customer is required to maintain and report to Netskope information relevant to calculating monthly data processing and compliance with the Capacity Limitation (“Usage Reports”). The customer is required to submit Usage Reports to Netskope quarterly, 2 weeks after the end of each quarter of the subscription period. Netskope and the customer will cooperate to verify Usage Reports, and if requested by Netskope, the customer is required to provide additional information to substantiate Usage Reports. If monthly usage has exceeded the Capacity Limitation by more than 10% for any 2 months during the Service subscription period, then within 45 days after the end of the quarter, the customer is required to purchase an extension of the Service subscription period and increase subscription capacity sufficient for the highest monthly usage. Fees charged by Netskope for GB added during a Service subscription period will be consistent with the per GB fees quoted by Netskope for the original order for the same Service subscription period. Unless a different period is quoted by Netskope, the Service subscription period purchased will have a 12 month term beginning with the first day of the second month that exceeds the Capacity Limitation by more than 10%.
CASB API and API Introspection Services SKUs: NK-P-CBAPI-
CASB API Services SKUs are charged on a Seat and TB basis. Each API Service includes 1TB/year of retroscan capacity, and an additional 1TB/year of retroscan capacity for every 100 Seats included in the subscription. The customer may increase the number of permitted Seats at any time during a Service subscription period by purchasing additional Seat subscriptions. The customer may also purchase additional TB of retroscan capacity. Fees charged by Netskope for Seats and retroscan capacity added during a Service subscription period will be consistent with the per Seat fees and TB retroscan capacity fees quoted by Netskope for the original order for the same Service subscription period. Netskope will provide pro-rated pricing for additional Seat subscriptions to be coterminous with the original Service subscription period. During the Service subscription period, the customer and Netskope will cooperate in good faith to determine if actual Seats exceed the number of permitted Seats purchased. The customer is required to provide information reasonably requested by Netskope for such purposes and written confirmation of the number of Seats if requested by Netskope in connection with renewals. If the customer is notified that the number of actual Seats exceeds the purchased subscription, within 30 days after notice, the customer is required to either purchase additional quantities sufficient for all Seats, or immediately cease Services for all Seats exceeding the purchased quantity.
DSPM Services SKUs: NK-DSPM-
DSPM Services SKUs are charged on a per data store basis with a total limit on object-count, where a “data store” is a connected data repository (e.g. database, data warehouse, object store bucket, file share or data instance), and an “object” is either a field (i.e. database column) or a file within a data store. Each data store entitles the customer to up to a maximum of 40,000 objects under management. The customer may increase the number of data stores at any time during a Service subscription period by purchasing additional data stores. Fees charged by Netskope for data stores added during a Service subscription period will be consistent with the per data store fee quoted by Netskope for the original order for the same Service subscription period. Netskope will provide pro-rated pricing for additional data stores and object packs to be coterminous with the original Service subscription period. During the Service subscription period, the customer and Netskope will cooperate in good faith to determine if the actual total number of data stores or objects under management exceeds the number of permitted data stores or objects purchased. The customer is required to provide information reasonably requested by Netskope for such purposes and written confirmation of the number of data stores and objects if requested by Netskope. If the customer is notified that the actual data stores or object count exceeds the purchased quantity, within 30 days after notice, the customer is required to either purchase additional quantities sufficient to cover the excess, or immediately reduce usage within purchased quantities.
SSPM Services SKUs: NK-SSPM-
SSPM Services SKUs are charged on a Seat basis. The customer may increase the number of permitted Seats at any time during a Service subscription period by purchasing additional Seat subscriptions. Fees charged by Netskope for Seats added during a Service subscription period will be consistent with the per Seat fees quoted by Netskope for the original order for the same Service subscription period. Netskope will provide pro-rated pricing for additional Seat subscriptions to be coterminous with the original Service subscription period. During the Service subscription period, the customer and Netskope will cooperate in good faith to determine if actual Seats exceed the number of permitted Seats purchased. The customer is required to provide information reasonably requested by Netskope for such purposes and written confirmation of the number of Seats if requested by Netskope in connection with renewals. If the customer is notified that the number of actual Seats exceeds the purchased subscription, within 30 days after notice, the customer is required to either purchase additional quantities sufficient for all Seats, or immediately cease Services for all Seats exceeding the purchased quantity.
IaaS Storage Scan Services SKUs: NK-IAAS-SS-
Storage Scan/IaaS Services SKUs are charged based on GB consumed. The customer’s use will be subject to quarterly true-up as described below unless otherwise provided in the applicable quotation provided by Netskope. GB quantities stated in the Netskope quotation and corresponding customer order are the base quantities during the Service subscription period purchased in advance. GB used in excess of the base quantities will be measured and charged quarterly. Fees charged by Netskope for additional GB during a Service subscription period will be consistent with the per GB fees quoted by Netskope for the original order for the same Service subscription period. GB consumed will be measured every 3 months after the Service start date to determine quarterly true-up fees invoiced after each quarterly measurement. Quarterly true-up fees for GB are assessed based on the actual quantity of GB consumed during the prior quarter. Additional GB purchased will have a 12 month Service subscription period beginning on the applicable quarterly true-up date, unless a different period is quoted by Netskope. The customer may at any time request a quote for additional quantities to be purchased in advance.
IaaS Protection and CSPM Services SKUs: NK-P-IAASPRT-PRF, NK-CSPM-ACT
IaaS Protection and CSPM Services are charged on an Account basis. Each SKU/Account unit includes 1 Account and up to 1 TB of data scanning. The customer’s use will be subject to quarterly true-up as described below or in the applicable quotation provided by Netskope. Account quantities stated in the Netskope quotation and corresponding customer order are the base quantities during the Service subscription period purchased in advance. Accounts and data scanning used in excess of the base quantities will be measured and charged quarterly. Fees charged by Netskope for Accounts added during a Service subscription period will be consistent with the per Account fees quoted by Netskope for the original order for the same Service subscription period. Accounts in use and data consumed will be measured every 3 months after the Service start date, and to determine quarterly true-up fees to be invoiced after each quarterly measurement. Quarterly true-up fees for Accounts are assessed based on the average number of Accounts in use during the quarter and the actual quantity of data consumed during the prior quarter. Additional Accounts purchased will have a 12 month Service subscription period beginning on the applicable quarterly true-up date, unless a different period is quoted by Netskope. The customer may at any time request a quote for additional quantities to be purchased in advance.
CSPM Services SKUs: NK-CSPM-
CSPM Services are charged on a Resource basis. The customer’s use will be subject to quarterly true-up as described below or in the applicable quotation provided by Netskope. Resource quantities stated in the Netskope quotation and corresponding customer order are the base quantities during the Service subscription period purchased in advance. Resources used in excess of the base quantities will be measured and charged quarterly. Fees charged by Netskope for Resources added during a Service subscription period will be consistent with the per Resource fees quoted by Netskope for the original order for the same Service subscription period. Resources in use will be measured every 3 months after the Service start date, to determine quarterly true-up fees to be invoiced after each quarterly measurement. Quarterly true-up fees for Resources are assessed based upon the average number of Resources in use during the quarter in excess of Resources previously purchased for the subscription period. Additional Accounts purchased will have a 12 month Service subscription period beginning on the applicable quarterly true-up date, unless a different period is quoted by Netskope. The customer may at any time request a quote for additional quantities to be purchased in advance.
China Elite and China Premium SKUs: NK-NGSWG-CN-ELT, NK-NGSWG-CN-PRM
China Elite and China Premium SKUs are charged on a per User and gigabyte (GB) basis. Each SKU unit includes 1 User and up to 5 GB of data processing per month for each unit (the “Capacity Limitation”). The Service is only for traffic to Netskope data centers in Mainland China that originates from authenticated Users (individuals, including employees and contractors), which excludes data processing for guest Wi-Fi and machine traffic such as traffic originating from servers. Usage and subscription increases for exceeding the Capacity Limitation will be assessed on a quarterly basis. Netskope and the customer will cooperate to verify usage assessed by Netskope, and if requested by Netskope, the customer is required to provide additional information to substantiate usage. If monthly usage has exceeded the Capacity Limitation by more than 10% for any 2 months during the Service subscription period, then within 45 days after the end of the quarter, the customer is required to purchase SKU units to increase the subscription capacity sufficient for the highest monthly usage. Fees charged by Netskope for SKU units added during a Service subscription period will be consistent with the per unit fees quoted by Netskope for the original order for the same Service subscription period. Unless a different period is quoted by Netskope, the Service subscription period purchased will have a 12 month term beginning with the first day of the second month that exceeds the Capacity Limitation by more than 10%.
Unless the customer and Netskope have signed an agreement for the customer’s purchase of Services, all Services are subject to the terms and conditions of the Netskope Subscription Services Agreement available at https://www.netskope.com/subscription-terms/.
